c) We are not responsible for the availability, policies, content moderation decisions, or actions of any Third-Party Platform. Suspension or termination of your account on a Third-Party Platform is outside our control.
d) You are solely responsible for ensuring that content you publish through our Services complies with the terms, community guidelines, and applicable laws governing each Third-Party Platform.

b) Nothing in these Terms transfers any intellectual property rights to you. You may not copy, reproduce, modify, distribute, or create derivative works from any part of our Services without our prior written consent.

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR UNINTERRUPTED OR ERROR-FREE OPERATION. WE DO NOT WARRANT THAT THE SERVICES WILL MEET YOUR REQUIREMENTS OR THAT ANY ERRORS WILL BE CORRECTED.
b) Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, HARMONIA BUSINESS DEVELOPMENT LLC AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING FROM YOUR USE OF OR INABILITY TO USE THE SERVICES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
c) OUR TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE GREATER OF (I) THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM OR (II) ONE HUNDRED U.S. DOLLARS ($100).
11. Indemnification
You agree to indemnify, defend, and hold harmless Harmonia Business Development LLC and its officers, directors, employees, agents, and licensors from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with: (a) your access to or use of the Services; (b) Your Content; (c) your violation of these Terms; or (d) your violation of any applicable law or the rights of any third party.
12. Dispute Resolution
a) Informal Resolution
Before filing any formal legal claim, you agree to contact us at [email protected] and attempt to resolve the dispute informally. We will make reasonable efforts to resolve the issue within 30 days.
b) Arbitration
If informal resolution fails, any dispute arising from or relating to these Terms or the Services shall be resolved by binding individual arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules. You waive any right to a jury trial or to participate in a class action lawsuit or class-wide arbitration.
c) Exceptions
Either party may seek emergency injunctive or equitable relief from a court of competent jurisdiction to prevent irreparable harm pending arbitration.
13. Governing Law
These Terms are governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law provisions. To the extent court proceedings are permitted under these Terms, you consent to exclusive jurisdiction in the state and federal courts located in Florida.
14. Termination
We reserve the right to suspend or terminate your access to the Services at any time, with or without notice, for any violation of these Terms or for any other reason at our sole discretion. Upon termination, your right to use the Services ceases immediately. Provisions that by their nature should survive termination (including intellectual property, disclaimers, indemnification, and dispute resolution) shall survive.
15. Severability
If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.
16. Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and Harmonia Business Development LLC regarding the Services and supersede all prior agreements, understandings, and communications on the subject matter.
